8. RIGHT TO LODGE A COMPLAINT

For Spain, the supervisory authority is the Agencia Española de Protección de Datos (AEPD): www.aepd.es.
9. DATA SECURITY
NexulithDynamics implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption, access controls, regular security assessments, and incident response procedures in accordance with Art. 32 GDPR.
03. Refund Policy

This Refund Policy applies to all services provided by NexulithDynamics, registered at Ronda de Sant Antoni, 42, Piso 1º 2ª — 08001, Barcelona, Barcelona, España, España. We are committed to transparent and fair billing practices in accordance with Spanish consumer protection law (Real Decreto Legislativo 1/2007) and the EU Consumer Rights Directive (2011/83/EU).
1. GENERAL REFUND TERMS
Due to the bespoke and digital nature of our services, refunds are evaluated on a case-by-case basis. We operate a milestone-based billing system for all projects, meaning you only pay for completed and approved work stages.
2. ELIGIBILITY FOR REFUND
You may be entitled to a full or partial refund under the following circumstances:
- Service Not Delivered: If we fail to deliver the agreed-upon service within the specified timeframe without valid justification, you are entitled to a full refund for the undelivered milestone.
- Material Defects: If the delivered work contains material defects that cannot be resolved within a reasonable timeframe (up to 30 days), you may request a partial refund proportional to the affected scope.
- Cancellation Before Work Begins: If you cancel a project before any work has commenced, you are entitled to a full refund of any advance payments made.
- Cancellation During Active Milestone: If you cancel during an active milestone, you will be billed proportionally for work completed up to the date of cancellation.
3. NON-REFUNDABLE ITEMS
- Completed and approved milestones where deliverables have been accepted in writing.
- Third-party costs incurred on your behalf (domain registrations, hosting fees, SSL certificates, stock assets).
- Work performed outside the original scope agreed upon in the project brief.
- Requests for changes after final delivery approval.
4. REFUND PROCESS
To request a refund, please contact us at [email protected] with your project reference number, a description of the issue, and any supporting evidence. We will acknowledge your request within 48 hours and provide a resolution within 14 business days. Refunds are processed via the original payment method.
5. DISPUTE RESOLUTION
In the event of a dispute regarding refunds, both parties agree to attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts of Barcelona, España, in accordance with applicable Spanish law.

These Terms of Service ("Terms") govern the provision of services by NexulithDynamics, located at Ronda de Sant Antoni, 42, Piso 1º 2ª — 08001, Barcelona, Barcelona, España, España ("the Company," "we," "us," or "our") to any client or visitor ("you" or "your") accessing or using our website and services. By engaging our services or accessing our website, you agree to be bound by these Terms.
1. SCOPE OF SERVICES
NexulithDynamics provides web development, cloud infrastructure, design, SEO, and related digital services as described in our service descriptions and project proposals. The specific scope, deliverables, timelines, and pricing for each project are defined in a separate written agreement or proposal accepted by both parties.
2. CLIENT OBLIGATIONS
- Provide accurate and complete information necessary for the execution of the project.
- Respond to requests for feedback, approvals, and content within agreed-upon timelines.
- Ensure that all materials provided to us do not infringe upon third-party intellectual property rights.
- Make payments in accordance with the agreed payment schedule.
3. PAYMENT TERMS
- All prices are quoted in Euros (€) and are exclusive of applicable VAT unless otherwise stated.
- Invoices are issued upon milestone completion and are payable within 14 calendar days.
- Late payments may incur interest at the rate of 4% per annum in accordance with Art. 1108 of the Spanish Civil Code.
- Work may be suspended if payment is overdue by more than 21 days.
4. INTELLECTUAL PROPERTY
Upon full payment, all intellectual property rights in the deliverables produced specifically for your project are transferred to you. NexulithDynamics retains ownership of pre-existing frameworks, tools, methodologies, and code libraries used in the creation of deliverables, granting you a perpetual, non-exclusive license to use such components as integrated in the final product.
5. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of the project. This obligation survives the termination of these Terms for a period of 24 months.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, NexulithDynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the services. Our total aggregate liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.
7. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or cyber attacks.
8. TERMINATION
Either party may terminate the agreement with 30 days' written notice. NexulithDynamics may terminate immediately if the client breaches a material obligation and fails to cure such breach within 14 days of written notice. Upon termination, the client shall pay for all work completed up to the termination date.
9. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Spain and the European Union. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, España.
10. SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11. ENTIRE AGREEMENT
These Terms, together with any project-specific proposals and agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements relating to the subject matter.
